The Six Principles For Responsible Investment offer a menu of possible actions for incorporating ESG issues into investment practice. They were developed by investors for investors and in implementing them, signatories contribute to developing a more sustainable global financial system.
Although Maiden Cardinal Asset Management Group (Pty) Ltd is not yet a 'Signatory', it does commit to a dutiful action of acting in the best long-term interest of its beneficiaries. In this Fiduciary Role, we too believe that environmental, social, and corporate governance (ESG) issues can affect the performance of investment portfolios (to varying degrees across companies, sectors, regions, asset classes and through time).
We too recognize that applying these Principles may better align investors with broader objectives of society, therefore where we're consistent with our Fiduciary Responsibilities we Commit to The Six Principles.
The Equator Principles®
The Equator Principles is a risk management framework adopted by financial institutions, for determining, assessing and managing environmental and social risk in project finance. It is primarily intended to provide a minimum standard for due diligence to support responsible risk decision-making and apply globally to all industry sectors and (within EPIII) to four financial products, 1) Project Finance Advisory Services, 2) Project Finance, 3) Project-Related Corporate Loans and 4) Bridge Loans. Equator Principles Financial Institutions (EPFIs) commit to implementing the EP in their internal environmental and social policies, procedures and standards for financing projects and will not provide Project Finance or Project-Related Corporate Loans to projects where the client will not, or is unable to, comply with the Equator Principles. While the Equator Principles are not intended to be applied retrospectively, EPFIs apply them to the expansion or upgrade of an existing project where changes in scale or scope may create significant environmental and social risks & impacts. Even though Maiden Cardinal is not an EPFI, its principles have promoted convergence around the common environmental and social standards that we believe in as an investment benchmark from the Equator Principles perspective.

The Global Investment Performance Standards (GIPS®) are voluntary, ethical standards for calculating and presenting investment performance based on the principles of fair representation and full disclosure.
Investment performance is a fundamental part of all investing, and it is relevant to every investment and to every investor. It is important for the evaluation of progress against objectives, the selection of managers, and the calculation of incentives. Investment firms and asset owners that adopt the GIPS standards display their commitment to ethics and transparency and instill investor confidence.
Through a Back-Ended Waterfall Distribution Model with a Four Tier Capital Structure with Claw-back Triggers.
How Does it Work?
Tier 1. Return of Capital Contribution to Investors
This distribution makes provision that Investor's initial capital with interest is first recuperated before any other distributions.
Tier 2. Preferred Return to Investors
This provides Investors with a determined rate of return on any capital contribution before entitlements.
Tier 3. Catch Up Tier
The GP will be entitled to share in the profits generated by the fund until it has received an amount equal to Pre-carried Interest.
Tier 4. Carried Interest Split
At this stage both the Investor and GP split the pool of any remaining distribution funds payable according to a carried interest split of 60/40 ratio favoring and prioritizing the Investor including the annual management fee that we pay back in full at Carried Interest.
